The following definitions apply in these Terms and Conditions:
'Branch': the local networks run for HR practitioners and whose primary purpose is to act as a channel for Member and potential member engagement at a local and national level and in accordance with the Institute’s strategic priorities;
'Board': the Board of the Institute as from time to time constituted in accordance with the Charter & Byelaws;
'CIPD' or 'Institute' the Chartered Institute of Personnel and Development a charity registered under number 1079797 and incorporated by Royal Charter and having its principal place of business at 151 The Broadway, Wimbledon, London SW19 1JQ;
'Chartered Member(s)' the sub-categories of Members that are designated as such in the Regulations, as identified in the Membership Grade;
'Charter & Bye-laws' the Institute Charter as granted by the Privy Council and the Byelaws contained therein;
'Code of Professional Conduct' the Institute’s code of professional conduct which sets out the standards of professional behaviour to which a Member must adhere;
'Designatory Letters' the affixes as prescribed by the Regulations which may be used by Members under the Charter and Bye-laws;
'Force Majeure' any event or occurrence which is outside the control of the party affected and which is not attributable to any act or failure to take preventive action by the party affected, but shall not include any industrial action occurring within the Institute;
'General Meeting' a meeting of the Chartered Members of the Institute as prescribed in the Charter and Byelaws and the Regulations;
'Intellectual Property' copyright, database rights, rights in confidence, rights in passing-off, rights to domain names, registered and unregistered designs, trademarks, patents or other industrial or intellectual property together with any current or future applications for any registrable items of the foregoing;
Materials' all materials including the written content, newsletters, conference materials, advertising, brochures, publicity material, invitations, website, branding, logos and other CIPD materials used by or for or relating to the Member Services;
'Member' a fully paid-up individual member of the CIPD and “Members” shall be construed accordingly;
'Membership Grade' the grade of membership held by a Member which is dependent on satisfying the membership criteria for the specified grade; these shall include: Chartered Members, Chartered Fellows, Chartered Companions, Academic Members, Academic Fellows and Non-Voting Members;
'Member Services' the services provided by the Institute for the benefit of Members subject to these Terms and Conditions;
'Membership Term' the period of valid membership commencing on 1 July of the year of admission to 30 June of the following year;
'Non-voting Member(s)' the sub-categories of Member that are designated as such in the Regulations from time to time;
'Regulations' the regulations passed by the Board in accordance with the Charter & Bye-laws as set out in full on the Institute’s website at www.cipd.co.uk/membership;
'Subsidiaries' shall in relation to the CIPD, have the meaning ascribed to it in the Companies Act 2006 as may be amended from time to time.
